Потому что SEC считал, что эйрдропы — это инвестиционный контракт и, соотвественно, ценная бумага, несмотря на отсутствие встречного предоставления в форме денег.
Не берусь утверждать, что эта схема с вайомингской компанией bullet proof, но лед определенно тронулся, господа присяжные заседатели.
