Конституционный суд РФ вынес постановление №2-П от 21.01.25 по спору о выплате участнику действительной стоимости доли не деньгами, а недвижимостью. Налоговая посчитала, что разница между переданным имуществом и номинальной стоимостью доли является доходом, который подлежит налогообложению.
КС РФ признал, что в законодательстве нет четкого порядка налогообложения таких выплат. Законодателю следует устранить правовую неопределенность в данном вопросе, однако до принятия поправок при расчете налога доход общества следует определять по рыночной стоимости возвращенной доли.
