Закон вступает в силу 4 сентября 2023 года и призван защитить интересы российских лиц, которые косвенно участвуют в экономически значимых организациях («ЭЗО») через участие в недружественных иностранных холдинговых компаниях («ИХК»), владеющих не менее 50% акций (долей) ЭЗО и препятствующих их деятельности.
Закон, в частности, предусматривает механизмы:
1️⃣ приостановления корпоративных прав ИХК с вступлением российских косвенных участников ЭЗО в прямое владение акциями (долями) ЭЗО; а также
2️⃣ прямой выплаты дивидендов косвенным российским участникам.

These entities are reportedly operating nine Telegram channels with more than five million subscribers to whom they were making recommendations on selected listed scrips. Such recommendations induced the investors to deal in the said scrips, thereby creating artificial volume and price rise. The regulator said it has been undertaking several campaigns to educate the investors to be vigilant while taking investment decisions based on stock tips. In December 2021, Sebi officials had conducted a search and seizure operation at the premises of certain persons carrying out similar manipulative activities through Telegram channels. Under the Sebi Act, the regulator has the power to carry out search and seizure of books, registers, documents including electronics and digital devices from any person associated with the securities market. Perpetrators of these scams will create a public group on Telegram to promote these investment packages that are usually accompanied by fake testimonies and sometimes advertised as being Shariah-compliant. Interested investors will be asked to directly message the representatives to begin investing in the various investment packages offered.
