15 октября 2022 года был принят и опубликован Указ Президента РФ № 737 «О некоторых вопросах осуществления (исполнения) отдельных видов сделок (операций)» («Указ 737»), который:
⏺ распространяет критерии согласования сделок (операций) с долями в уставных капиталах обществ с ограниченной ответственностью, установленные Указом Президента РФ от 8 сентября 2022 года № 618 («Указ 618») (подробнее про это в посте), на сделки (операции) с акциями акционерных обществ;
⏺ определяет, какие сделки (операции) с акциями (долями) ряда финансовых организаций требуют предварительного согласования с подкомиссией Правительственной комиссии по контролю за осуществлением иностранных инвестиций в Российской Федерации («Подкомиссия»);
⏺ регулирует вопросы, связанные с вывозом наличной иностранной валюты, выплатой денежных средств в связи с уменьшением уставного капитала или ликвидацией и расчетами наличными.
Официальные разъяснения применения Указа 737 уполномочен давать Банк России.

Pavel Durov was quoted at the time saying that the company was obliged to follow a “legitimate” law of the land. He added that as Apple and Google both follow the law, to violate it would give both platforms a reason to boot the messenger from its stores. The next bit isn’t clear, but Durov reportedly claimed that his resignation, dated March 21st, was an April Fools’ prank. TechCrunch implies that it was a matter of principle, but it’s hard to be clear on the wheres, whos and whys. Similarly, on April 17th, the Moscow Times quoted Durov as saying that he quit the company after being pressured to reveal account details about Ukrainians protesting the then-president Viktor Yanukovych.
